ITVS Board Transitions to New Nomination Process

After careful consideration and research, on December 1, 2008, the ITVS board of directors voted unanimously to amend the Articles of Incorporation (AOI) to reflect a change in the processes required for electing new board members. The changes to the AOI now make it possible for the board to become a self-nominating entity with respect to identifying, nominating and selecting individuals to serve on the board.

Since the creation of ITVS in1989, the process of nominating the board of directors has been the responsibility of a representative coalition of individuals from the independent film community and organizations known as the National Coalition of Independent Public Broadcasting Producers (NCIPBP). In ITVS’s founding years, the NCIPBP worked diligently to cultivate the type of board necessary to launch and stabilize a national nonprofit organization. The NCIPBP has performed a stellar job of representing the independent media community over the past 20 years, and deserves a great deal of recognition for building a professional board that has governed the work of ITVS.

Additionally, in the past, board nominations proposed by the NCIPBP had to be approved by the Corporation for Public Broadcasting (CPB). As part of this transition, the ITVS board of directors now will solely approve board nominations.

ITVS has matured into a professional organization with strong executive leadership and staff. As such, the board must adopt a governance model that safeguards ITVS’s mission, vision and values, while also ensuring a board makeup that continues to demonstrate our commitment to the independent media community. The board is also mindful that, as an organization with a broad scope of work and a significant national profile, ITVS’s governance model should reflect best practices in nonprofit management.

As ITVS transitions to a new mode of board selection, we’d like to acknowledge the tremendous contribution of the NCIPBP. Past and present members of the NCIPBP brought their considerable wisdom, experience and dedication to the task of identifying and nominating individuals to the ITVS board. Their collective vision and leadership in selecting nominees over the past 20 years has played a major role in ITVS’s success.

The spirit and intent of the processes previously carried out by the NCIPBP remain a priority for the board. Further, the founding principles that elevate and support independently-produced media, as well as the language safeguarding ITVS’s work from commercial and political pressures, remain embedded in the Articles of Incorporation. We recognize the critical role that independent media makers play on our board and are committed to have their representation along with other key stakeholders including independent media organizations and public television. We also reaffirm our commitment to a board that reflects ethnic, gender, sexual orientation, generational, regional and artistic diversity.

The board of directors is committed to supporting the growth of ITVS as it continues to develop into a 21st century independent media organization and a respected national nonprofit leader.
